1. Agreement to these Terms
These Terms of Service (“Terms”) are a binding agreement between you and Ascensa LLC (“Ascensa,” “we,” “us,” or “our”). By using ratpicz.com, starting a subscription, or otherwise using Ratpicz (the “Service”), you agree to these Terms and acknowledge our Privacy Policy and Refund Policy. If you do not agree, do not use or purchase the Service.
2. Eligibility
You must be legally capable of entering a binding contract where you live. If you are under the age of majority, a parent or legal guardian must purchase and manage the subscription and agree to these Terms on your behalf. You may not use the Service if applicable law prohibits you from doing so.
3. The Ratpicz subscription
An active paid subscription includes one curated rat picture or rat-themed digital image (“Rat Drop”) delivered by email during each calendar month. A Rat Drop may be a photograph, illustration, wallpaper, infographic, AI-assisted image, or another digital format. The creative style, subject, dimensions, and file format may vary. Ratpicz is a digital subscription; no physical product is included.
4. Price, taxes, and recurring billing
The subscription costs $5 USD billed in advance every three months, unless a different price or cadence is clearly shown at checkout. By subscribing, you authorize Stripe to charge your selected payment method when you purchase and at the start of each renewal period until you cancel. Applicable taxes may be added at checkout. Stripe processes payments; Ratpicz does not store your complete card number or card security code.
If a payment fails, we or Stripe may retry the charge, ask you to update your payment method, suspend delivery, or cancel the subscription. You are responsible for keeping your email and payment information current.
5. Delivery
Rat Drops are sent to the email address associated with your subscription, generally near the beginning of each calendar month. Your first Rat Drop is scheduled for the first day of the month after you subscribe. Delivery timing may vary because of weekends, service interruptions, email-provider processing, or events outside our reasonable control.
You are responsible for providing a working email address, allowing messages from Ratpicz, and checking spam, promotions, and filtering folders. If a Rat Drop does not arrive, contact us promptly at hello@ratpicz.com from the email address used to subscribe.
6. Cancellation and refunds
You may cancel future renewals through the Stripe customer portal before your next renewal. Unless applicable law requires otherwise, cancellation takes effect at the end of the current paid billing period, does not reverse a completed charge, and allows scheduled Rat Drops to continue through that period. Refund requests are governed by our Refund Policy. Your non-waivable consumer rights are not affected.
7. License and intellectual property
The Service, its branding, site content, and Rat Drops are owned by or licensed to Ascensa and are protected by intellectual-property laws. Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use each Rat Drop for personal, noncommercial purposes, unless that Rat Drop states different license terms.
You may not sell, sublicense, publicly distribute, use in advertising or merchandise, remove ownership notices from, train an AI model on, or claim authorship of a Rat Drop without our prior written permission. No rights are granted except those expressly stated in these Terms.
8. Acceptable use
You may not:
- use the Service or Rat Drops for unlawful or harmful purposes;
- interfere with, overload, reverse engineer, scrape, or attempt unauthorized access to the Service or another user’s information;
- circumvent security, billing, or access controls;
- misrepresent your affiliation with Ratpicz or Ascensa; or
- use automated means to abuse checkout or support systems.
We may restrict or terminate access for a material violation of these Terms, fraud, abuse, legal risk, or nonpayment.
9. Third-party services
The Service relies on third parties, including Stripe for billing and account management, Cloudflare for hosting and security, and an email delivery provider. Their services may be governed by separate terms and privacy policies. We are not responsible for third-party services outside our control, but this does not limit any responsibility that cannot legally be excluded.
10. Service changes and availability
We may modify, suspend, or discontinue features of the Service for operational, security, legal, or business reasons. If we discontinue a paid subscription before the end of a billing period, we will provide any remedy required by applicable law. We do not guarantee that the Service will always be uninterrupted or error-free.
11. Disclaimers
To the fullest extent permitted by law, the Service and Rat Drops are provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. Ratpicz is entertainment. We do not promise health, productivity, financial, scientific, or other results. Some jurisdictions do not allow certain warranty exclusions, so some of this section may not apply to you.
12. Limitation of liability
To the fullest extent permitted by law, Ascensa and its owners, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business opportunities arising from the Service. Our total liability for claims relating to the Service will not exceed the greater of $100 USD or the amount you paid for Ratpicz during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law.
13. Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Ascensa and its owners, officers, employees, contractors, and affiliates from third-party claims, damages, and reasonable costs arising from your unlawful use of the Service, your infringement of another person’s rights, or your material breach of these Terms.
14. Governing law and disputes
These Terms are governed by the laws of the U.S. state in which Ascensa LLC is organized, without regard to conflict-of-law rules. Any dispute that is not resolved informally will be brought in a state or federal court with jurisdiction over Ascensa’s registered office, and each party consents to that court’s jurisdiction and venue. Before filing a claim, contact us at hello@ratpicz.com and allow 30 days for a good-faith effort to resolve it. Nothing in this section prevents either party from seeking urgent injunctive relief or using a small-claims court where eligible, and non-waivable consumer rights remain available.
15. Changes to these Terms
We may update these Terms to reflect changes to the Service, our practices, or legal requirements. We will post revised Terms and update the effective date. If a change materially affects an active subscription, we will provide notice as required by law. Continued use after revised Terms take effect constitutes acceptance where permitted by law.
16. General terms
These Terms, the Privacy Policy, the Refund Policy, and any terms shown at checkout are the entire agreement regarding the Service. If a provision is unenforceable, it will be modified only as much as necessary and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, merger, acquisition, or sale of assets. Sections intended by their nature to survive termination will survive.
